Legal

Terms of Use

Last updated: 12 October 2026

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE WEBSITE OR PURCHASING ANY PRODUCT OR SERVICE.

These Terms of Use (the “Terms”) form a legally binding agreement between you and Scribe Crest (the “Provider”, “we”, “us” or “our”). They govern your access to and use of https://www.scribecrest.com and your purchase and use of our ebooks, digital courses, software and related products and services.

By accessing the Website, creating an Account, placing an Order or using any Product or Service, you agree to these Terms. If you do not agree, do not use the Website or purchase any Product or Service.

In particular, please note: Products are licensed and not sold (clause 3); resale, sharing and AI-training uses are prohibited (clauses 5 and 7); refunds are governed by clause 11 and Schedule 1, and are subject to conditions for Courses and are not available for Coaching Services; the Products are educational and no results are guaranteed (clause 20); and our liability is limited as set out in clause 26, without affecting rights that cannot be excluded by law.

1. Acceptance, eligibility and capacity

1.1 Acceptance. You accept these Terms when you access or use the Website, create an Account, place an Order, or access or use any Product or Service. If you do not accept these Terms, you must not use the Website and you must not place an Order. Your continued use of the Website, any Product or any Service after you first accept these Terms is a continuing acceptance of them.

1.2 Age and capacity. The Website and the Products are for people aged eighteen (18) or over. You must be at least eighteen (18) years old, or the age of majority in the place where you live if that age is higher, and you must have the legal capacity to enter into a binding contract. By placing an Order you confirm that you meet these requirements, and we may ask you for reasonable evidence of your age.

1.3 Products designed for children. Where a Product is designed for children, it is sold to a parent or legal guardian, who must create the Account and make the purchase. We do not offer Accounts to children and we collect only the minimum Personal Data needed to deliver the Product. A parent or guardian who makes such a purchase is responsible for the child’s use of the Product and must make sure that the child complies with these Terms.

1.4 Use on behalf of an organisation. If you accept these Terms on behalf of a company or other organisation, you confirm that you have authority to bind it, and “you” then includes that organisation. If you do not have that authority, you must not accept these Terms or place an Order on its behalf.

1.5 Product-specific terms. Some Products and Services are supplied with additional terms, such as licence files, programme rules or the details on the Product Page. Those additional terms apply together with these Terms. As clause 3.6 explains, if a Product Page differs from these Terms, the Product Page prevails for that Product.

1.6 Documents forming part of the agreement. Apart from these Terms and the relevant Product Page, the only document that forms part of this agreement is our Privacy Policy at https://www.scribecrest.com/privacy-policy/. Clause 23 explains how the Privacy Policy relates to these Terms.

1.7 Keeping a copy. You should save or print a copy of these Terms as they stand at the time of your Order. The version in force at the time of an Order continues to apply to that Order, as clause 33 explains.

2. Definitions and interpretation

2.1 Definitions. In these Terms, the following words have the meanings given below. A defined word keeps its capital letter wherever it is used.

Account means the personal account that you create on the Website, or that we create for you, to access a Product or Service.

Affiliate Partner means a person or business that we have approved to promote our Products under our affiliate or referral programme, where we offer one.

Applicable Law means the laws, regulations and binding rules that apply to a party, to a Product or to a matter under these Terms, including mandatory consumer-protection and data-protection law.

Coaching Services means personalised coaching, consulting, mentoring or advisory sessions that we offer, whether delivered by video, voice, message or in any other way.

Content means all text, images, audio, video, documents, templates, worksheets, data, code, designs and other material made available through the Website, a Product or a Service.

Course means an online course, programme or training that we offer, whether in one release or in stages, together with its lessons, materials and assignments.

Ebook means a digital book, guide, report or similar publication that we offer in an electronic format.

Event means a webinar, live session, workshop or other live or recorded event that we host or organise.

Intellectual Property Rights means copyright, trade marks, service marks, trade names, database rights, design rights, rights in software and in know-how, and all other intellectual property rights, whether registered or not, anywhere in the world.

Order means a request by you to obtain a Product or Service, as confirmed on the Order page or at checkout.

Payment Processor means a third-party provider that processes payments for us and acts as merchant of record for an Order.

Product means an Ebook, a Course or Software, and any bundle or combination of them, that we make available.

Product Page means the page on the Website, or the checkout page, that describes a Product or Service and states its price, access period, requirements and any product-specific terms.

Purchase Date means the date on which the Payment Processor confirms payment for an Order.

Refund Period has the meaning given in clause 11.1.

Service means Coaching Services, an Event, or any other service that we provide through or in connection with the Website.

Software means any computer program, application, plug-in, tool or script that we make available, including its updates and any documentation.

Subscription means an arrangement under which you pay for a Product or Service on a recurring basis.

Support Email means [email protected].

Third-Party Platform means a website, service, application or system that is operated by someone other than us and that the Website or a Product uses or links to.

Website means https://www.scribecrest.com, its subdomains and related pages.

2.2 Personal Data. The words “Personal Data” have the meaning given in our Privacy Policy.

2.3 Interpretation. In these Terms:

(a) “including” and similar words mean “including without limitation”;

(b) headings are for convenience only and do not affect the meaning of a clause;

(c) a reference to a law includes that law as amended or replaced from time to time;

(d) the singular includes the plural, and the plural includes the singular;

(e) “written” and “in writing” include email; and

(f) a period expressed in days means calendar days, unless business days are stated.

2.4 Order of precedence. If a Product Page differs from these Terms, clause 3.6 applies. If a translation of these Terms differs from the English version, clause 32 applies.

3. Products and nature of the transaction

3.1 The Products are digital goods. They are delivered electronically and no physical item is supplied unless expressly stated on the Order page.

3.2 Products are licensed, not sold. Save for the limited licence granted in clause 4, the Provider and its licensors retain all right, title and interest, including all Intellectual Property Rights, in and to the Products. Your purchase does not transfer ownership of any Product, Content or Intellectual Property Rights to you.

3.3 We make reasonable efforts to describe the Products accurately. Descriptions, outlines, screenshots, previews and sample pages are illustrative, and the final Product may differ in non-material respects. The description of a Product on the Order page forms part of your Order.

3.4 Products may comprise a single item or a bundle of items. Where a bundle is purchased, each item in the bundle is a Product for the purposes of these Terms and clause 11.4 applies to refunds.

3.5 We may decline or cancel any Order, or withdraw any Product from sale, at any time before delivery, in which case we will refund any amount paid for the affected Order.

3.6 Product Pages. Details that vary by Product, such as the access period, the number of devices or users, the behaviour and requirements of Software, any watermarking or licence-key controls, whether a Subscription or trial applies, the terms of any commercial licence, any different Refund Period or claims period, and any other product-specific condition, are stated on the relevant Product Page. The Product Page forms part of your Order and, if it differs from these Terms, the Product Page prevails for that Product. Nothing on a Product Page reduces any right that you have under Applicable Law.

4. Licence grants

4.1 Grant. Subject to these Terms and to payment of the price for your Order, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Product for your own lawful, personal and non-commercial education or use. The licence lasts for the access period stated on the Product Page. If the Product Page states no access period, the licence lasts for as long as we make the Product available, subject to clause 10.

4.2 Ebooks. You may view and read an Ebook on your own devices, make one (1) backup copy for your own use, and print the Ebook for your own personal use. You must not give a copy, whether printed or electronic, to anyone else.

4.3 Courses. You may stream or otherwise access the lessons of a Course and download the materials that we make available for download, in each case for your own personal study. Access to a Course is for one person only, as clause 8 explains.

4.4 Software. You may install and use Software on the number of devices stated on the Product Page, in object-code form only. You do not receive the source code of Software, and you must not attempt to obtain it.

4.5 Updates and upgrades. A Product includes updates and upgrades only if the Product Page says so. If it does not, we may offer an update or upgrade separately, on terms that we will state when we offer it.

4.6 Commercial use. The licence in this clause is for personal, non-commercial use. Where we offer commercial, team or reseller licences, commercial use is permitted only under clause 16 and the Product Page for that licence.

4.7 Rights reserved. All rights that are not expressly granted to you in these Terms are reserved to us and our licensors. Nothing in these Terms gives you, by implication or otherwise, any right in our Intellectual Property Rights beyond the licence in this clause.

4.8 End of licence. Your licence ends when your access period ends, when these Terms or your Account are terminated under clause 29, or when we refund the Product under clause 11. When the licence ends, you must stop using the Product and delete the copies in your possession or control, as clause 11.9 and clause 29 explain.

4.9 Personal licence. The licence is granted to you as an individual. You may not transfer it to another person, assign it, or use it on behalf of another person or organisation, except as clause 16 permits where we offer a commercial, team or reseller licence.

4.10 Assistive technology. Nothing in this clause prevents you from using accessibility tools, such as a screen reader or a text-to-speech tool, to read a Product that you have lawfully licensed. You must not use such a tool in a way that retains or shares the Content outside your own personal use.

5. Restrictions and acceptable use

5.1 Prohibited conduct. You must not, and you must not allow or help anyone else to, do any of the following:

(a) copy, redistribute, resell, rent, lend, sublicense, publish, post or otherwise share a Product, or any part of it, with any other person;

(b) share your login details or a licence key, or use a login or licence key that was issued to someone else;

(c) share an Account, or allow more than one person to use an Account;

(d) remove, hide or alter any watermark, copyright notice, digital rights management feature, licence control or other proprietary notice;

(e) circumvent or attempt to circumvent any access limit, such as a limit on devices, sessions, downloads or streaming;

(f) reverse engineer, decompile or disassemble Software, except to the extent that Applicable Law permits despite this restriction;

(g) create a derivative work from a Product, or translate, adapt or repackage it;

(h) use a Product or any Content to build, train or improve a product or service that competes with ours;

(i) record, screen-capture or transcribe live sessions or video lessons for the purpose of distributing them;

(j) use bots, scrapers or other automated means to access the Website or a Product, as clause 7 also provides;

(k) upload or transmit malware, viruses or any other harmful code;

(l) interfere with, overload or disrupt the Website, its servers or its security;

(m) use the Website unlawfully, or to harass, threaten, defame or abuse any person;

(n) impersonate any person or misrepresent your identity;

(o) misrepresent the results of a Product, or falsely state or imply that you are connected to us or endorsed by us; or

(p) abuse the payment system, including by raising a chargeback in bad faith, as clause 11.11 also provides.

5.2 Consequences. If you breach this clause, we may suspend or terminate your Account and your access to the Products, refuse a refund, and take legal action to protect our rights. These steps are in addition to any other remedy available to us under these Terms or Applicable Law.

5.3 Watermarking and tracking. Where we use watermarking, licence tracking or similar technical measures to detect unauthorised sharing, you agree that we may do so. The presence or absence of such measures on a Product does not make sharing permitted.

5.4 Reporting. If you become aware of a breach of this clause, you should tell us at [email protected]. We will consider each report in good faith.

5.5 Responsibility for others. You are responsible for the acts and omissions of anyone who uses a Product through your Account, your devices or your login details, whether or not you authorised them. A breach by such a person is treated as your breach of these Terms.

5.6 Protective measures. Where we reasonably suspect that a breach has occurred, we may limit streaming or download rates, disable a licence key, or require you to sign in again. These measures protect the Products and the people who have lawfully acquired them, and we will lift them where the suspicion proves unfounded.

5.7 Cooperation. If we investigate a suspected breach, you must give us the reasonable information that we ask for. You must not delete or alter records that relate to the suspected breach.

5.8 No waiver. If we do not act on a breach of this clause on one occasion, that does not stop us from acting on that breach or on a later one.

6. Intellectual property and ownership

6.1 Our rights. All Intellectual Property Rights in the Website, the Products, the Services, our brand names, logos and the Content belong to us or our licensors. Nothing in these Terms transfers any of those rights to you.

6.2 No transfer of ownership. Products are licensed and not sold, as clause 3.2 states. Your purchase gives you a licence to use the Product and does not give you ownership of it.

6.3 Trade marks. The names, logos and brands that we use are our trade marks or those of our licensors. You must not use them without our prior written permission.

6.4 Your own material. You keep ownership of the material that you create and submit, such as reviews and assignments. You grant us a licence to use it as clause 19 describes.

6.5 Feedback. If you give us feedback, suggestions or ideas about the Website, a Product or a Service, you grant us a free, perpetual, irrevocable and worldwide licence to use them without any obligation to you. We will not name you as the source of feedback without your permission.

6.6 Statutory exceptions. Nothing in these Terms limits any right that Applicable Law gives you and that cannot be excluded, including any right to make fair use or fair dealing of Content for purposes such as criticism, review or private study.

6.7 Infringement. If you believe that any material on the Website infringes your Intellectual Property Rights, you should follow the procedure in clause 24.

6.8 Third-party material. Some Content includes material that we license from others, such as images, fonts or software components. The licensors of that material keep their rights, and their terms may apply to it.

6.9 Enforcement. We may enforce our Intellectual Property Rights by any lawful means, including technical measures, takedown requests and legal proceedings. Because a breach of this clause may cause harm that money alone cannot repair, we may also seek an injunction, as clause 31.5 provides.

7. AI training, scraping and data-mining prohibition

7.1 You shall not use any Product, Content or Software, or any part of them, to train, fine-tune, validate, test, benchmark or otherwise develop or improve any artificial intelligence, machine learning or large language model, or to create any dataset, embedding, vector index, retrieval corpus or knowledge base.

7.2 You shall not use any automated means, including scraping, crawling, text and data mining, or any similar technique, to extract Content from the Website or any Product. To the fullest extent permitted by Applicable Law, we expressly reserve all rights in respect of text and data mining and any exception or limitation relating to it.

7.3 You shall not upload, paste or submit any Product, in whole or in substantial part, to any third-party artificial intelligence service that retains, trains on, or makes that material available to others. Nothing in this clause prevents you from using a private, personal tool to assist your own study of Content you have properly licensed, provided that the tool does not retain it, train on it or disclose it to any other person.

7.4 Any use of the Content for the purposes described in this clause requires our prior written permission, which we may withhold at our discretion.

8. Accounts, security and access limits

8.1 Accurate details. When you create an Account, you must give accurate, current and complete details, and you must keep them up to date. We may refuse or close an Account that contains false or misleading details.

8.2 Credentials and activity. You are responsible for keeping your login credentials confidential and for all activity that takes place under your Account. You must choose a password that is not easy to guess and must not use the same password that you use for other services.

8.3 Unauthorised use. If you believe that someone has used your Account or credentials without your permission, you must tell us at [email protected] without delay. We will take reasonable steps to help you secure your Account, but we are not responsible for loss that occurs before you tell us.

8.4 One person per Account. Each Account is for one person only. You must not share an Account, and you must not allow another person to use your Account or your access to a Product.

8.5 Access limits. The Product Page states the limits that apply to a Product, such as the number of devices, simultaneous sessions, downloads or streaming sessions. You must stay within those limits.

8.6 Monitoring and verification. We may monitor Accounts for signs of sharing or misuse, suspend an Account that appears suspicious, and ask you to verify your identity or your Order before we restore access. We will act reasonably and will tell you why we have acted, where it is practicable to do so.

8.7 Closing your Account. You may ask us to close your Account at any time by writing to [email protected]. Closing your Account does not entitle you to a refund, except as clause 11 provides.

8.8 Loss of access. If you lose access to your Account, for example because you have forgotten your password, you should use the password reset tool on the Website or contact us at [email protected]. We may ask you for information that proves your identity before we restore access.

9. Orders, pricing, payments and taxes

9.1 Your Order is an offer. When you place an Order, you make an offer to buy the Product or Service on these Terms and the Product Page. A contract between you and us is formed only when we send you an order confirmation or give you access to the Product, whichever happens first.

9.2 Declining or cancelling an Order. We may decline or cancel an Order, as clause 3.5 states, for example where a Product is unavailable, where we suspect fraud or where a price was shown in error. If we cancel an Order after you have paid, we will refund the amount that you paid for it.

9.3 Prices and currency. Prices are shown at checkout in the currency shown at checkout. We may change prices for future Orders at any time, and a change does not affect an Order that has already been confirmed.

9.4 Payment Processor. Payments are processed by the Payment Processor, which acts as merchant of record for your Order. Payment, tax collection, invoicing and payment disputes are governed by the terms and policies of the Payment Processor, and you agree to those terms and policies when you pay. The Payment Processor’s details are shown at checkout.

9.5 Card details. We do not store your full payment card details. Those details are handled by the Payment Processor.

9.6 Taxes. Where the law requires tax such as value added tax (VAT), goods and services tax (GST) or sales tax to be charged on an Order, the Payment Processor calculates and collects it. You are responsible for any other taxes, duties or charges that arise from your purchase or use of a Product.

9.7 Promotional codes. A promotional code can be used once and cannot be transferred, exchanged for cash or combined with another offer unless the offer says so. We may withdraw a promotional code at any time, but we will not withdraw a code that you have already applied to a confirmed Order.

9.8 Pricing errors. We may correct an obvious pricing error. If a price is corrected after you place an Order, we will offer you the choice to proceed at the correct price or to cancel the Order and receive a full refund.

9.9 Chargebacks. If you have a concern about a payment, you agree to contact us first at [email protected] so that we can try to resolve it. While a chargeback or payment dispute is open, we may suspend your access to the Product concerned, and the dispute rules of the Payment Processor apply.

9.10 Failed payments. If a payment fails or is reversed, we may suspend your access to the Product or Service until payment is made.

9.11 Order confirmation. We will send an order confirmation to the email address that you gave when you placed the Order. You should check it promptly and tell us at [email protected] if any detail is wrong, so that we can correct it where we reasonably can.

9.12 Receipts and invoices. The Payment Processor issues receipts and invoices for your Order. If you need a change to the details on a receipt or invoice, you should ask the Payment Processor, and we will help where we can.

9.13 Bank and exchange charges. Your bank or card issuer may charge you fees for foreign exchange or processing. Those charges are your responsibility, and we do not control them.

10. Delivery, access, formats, accessibility, updates and discontinuation

10.1 Electronic delivery. We deliver Products electronically, by download link, Account access or licence key. Delivery usually takes place immediately after payment is confirmed, or otherwise within a reasonable time.

10.2 What you need. You must have a compatible device, the necessary software and a working internet connection to receive and use a Product. You are responsible for the cost of your own equipment and connection.

10.3 Formats and requirements. The file formats and technical requirements of a Product are stated on the Product Page. We cannot guarantee that a Product will work on a device or system that does not meet those requirements.

10.4 Expiry of links and access. Download links and access may expire, as the Product Page states. If a link expires before you have downloaded the Product, you should contact us at [email protected] within a reasonable time.

10.5 Access period. Your access to a Product lasts for the period stated on the Product Page. When the period ends, your access ends, subject to clause 29.

10.6 Updates, corrections and withdrawal. We may update, correct, restructure or withdraw Content and features of a Product from time to time. Where we intend to withdraw a paid Product materially, we will give you reasonable notice where it is practicable to do so.

10.7 Discontinuation. If we discontinue a Product during your access period, we may offer you a replacement of similar value or a pro-rata refund of the unused part of the price, as Applicable Law requires. Nothing in this clause limits clause 29.

10.8 Accessibility. We aim to make our Products accessible to as many people as reasonably possible. If you need a Product in an accessible format, you may contact us at [email protected], and we will consider your request in good faith.

10.9 Downtime and maintenance. We carry out maintenance from time to time, and the Website and Products may be unavailable while we do so. We do not guarantee that the Website or any Product will be available without interruption.

10.10 Your own copy. Where a Product may be downloaded, you are responsible for downloading it and keeping your own copy. We are not responsible for the loss of a copy that you have downloaded.

10.11 Problems with delivery. If you do not receive access within a reasonable time after payment, you should check your spam folder and then contact us at [email protected]. We will resend the access details or fix the problem, and if we cannot deliver the Product, clause 11.10 applies.

10.12 Delivery platforms. We may deliver a Product through a Third-Party Platform, and you may need to create an account with that platform or accept its terms to use the Product. Clause 21 applies to your use of that platform.

10.13 Changes to formats. We may change the format in which a Product is delivered, or move it to another platform, where this improves delivery or is needed for technical or legal reasons. We will not do so in a way that materially reduces the Product that you paid for.

11. Refund policy

11.1 Refund Period. The refund period is thirty (30) days from the Purchase Date (the “Refund Period”), unless the relevant Product Page states a different period. Refunds are available only on the terms of this clause 11 and Schedule 1.

11.2 Ebooks, Software and other Products (other than Courses). You may request a full refund of the price paid for an Ebook, Software or other Product (other than a Course) at any time within the Refund Period, for any reason and without conditions.

11.3 Courses: proof of effort. You may request a full refund of the price paid for a Course within the Refund Period, subject to the following conditions, each of which must be satisfied:

(a) you have gone through all of the Course material, as evidenced by the progress records of the delivery platform or by your own records;

(b) you have made a genuine effort to apply the Course material, including by completing the exercises, assignments and action steps that the Course requires; and

(c) you submit with your refund request reasonable proof of the matters in (a) and (b), as described in Schedule 1, including documents, links, screenshots, recordings, statistics or other evidence of the work you carried out.

A refund request that does not satisfy these conditions is not valid. Reasons that do not qualify for a refund include, without limitation, a lack of time to complete the Course, a change of mind, a change in financial circumstances, and a failure to implement the Course material. The requirements of Schedule 1 apply to every Course refund request.

11.4 Bundles. Where a bundle includes both Courses and other Products, the refund conditions in clause 11.2 and 11.3 apply to each component. If you do not qualify for a refund of a Course component, we may, at our option, refund the apportioned price of the remaining components. Access to every component for which a refund is issued ends on payment of the refund.

11.5 Subscriptions. The first payment for a Subscription is refundable within the Refund Period on the terms of clause 11.2 or 11.3, as applicable to the subject matter of the Subscription. Renewal payments are not refundable, unless Applicable Law requires otherwise or we state otherwise at the time of renewal. You must cancel a Subscription in accordance with clause 12 to prevent further renewals.

11.6 Instalment plans. If you purchased by instalments, a refund granted under this clause 11 is limited to the instalments actually paid, and future instalments are cancelled on the date the refund is issued.

11.7 Coaching and Consulting Services. Fees for Coaching Services are non-refundable once booked and paid, except where Applicable Law requires otherwise or where we cancel a session and cannot reschedule it to a time agreed with you, in which case we will refund the fee for the undelivered session.

11.8 How to request a refund; processing. To request a refund, email [email protected] within the Refund Period quoting your Order number and the email address used to purchase and, for a Course, attaching the proof required by Schedule 1. We will confirm receipt within two (2) business days and notify you of our decision within ten (10) business days of receiving a complete request. Approved refunds are paid to the original payment method. The time that it takes for funds to reach you depends on the Payment Processor and your bank.

11.9 Effect of a refund. When a refund is issued: (a) your licence to the refunded Product ends immediately; (b) you must stop using the Product and delete all copies in your possession or control; (c) we may revoke your access, including by deactivating any licence key, download link or Account entitlement; and (d) any commission paid to an Affiliate Partner in respect of the sale may be recovered under clause 15.4.

11.10 Statutory rights; exceptions to conditions. This clause 11 is in addition to, and does not limit, any right you may have under Applicable Law, including any statutory right to cancel a contract for digital content or to a remedy for a Product that is faulty, not as described or not delivered. The conditions in clause 11.3 and Schedule 1 do not apply, and a refund will be provided, where (a) the Product was not delivered; (b) the Product is materially different from its description; (c) a technical fault prevented you from using the Product and we were unable to remedy it within fourteen (14) days of being notified; (d) you were charged more than once for the same Order; or (e) a refund is required by Applicable Law.

11.11 Abuse of this policy. We may decline a refund request, and may suspend or close an Account, if we reasonably determine that you are abusing this clause 11, including by repeatedly purchasing and seeking refunds of Products, by obtaining and retaining Content and then claiming a refund, or by providing false or misleading proof.

11.12 Payment Processor. Refunds are issued through the Payment Processor. Where the Payment Processor’s own refund or dispute rules, or Applicable Law, require a refund or a different procedure, those rules apply to the extent that they require it. We do not control the Payment Processor’s processing times.

12. Subscriptions and instalment plans

12.1 Application. Where we offer a Subscription or instalment plan, this clause applies to it, together with the Product Page and the other clauses of these Terms. If this clause differs from the Product Page, the Product Page prevails, as clause 3.6 provides.

12.2 Billing details. The billing cycle, the price and the renewal date of a Subscription or instalment plan are stated at checkout or on the Product Page. You should read those details before you place your Order, because they form part of it.

12.3 Automatic renewal. A Subscription renews automatically at the end of each billing cycle until you cancel it. By placing the Order, you authorise the Payment Processor to charge the payment method that you gave for each renewal at the price in force at that time.

12.4 Cancelling. You may cancel a Subscription through your Account settings, where that option is available, or by writing to [email protected]. Cancellation takes effect at the end of the billing cycle that you have already paid for, so you keep your access until then and are not charged again.

12.5 Price changes. We may change the price of a Subscription. We will give you at least thirty (30) days’ notice before the renewal at which the new price first applies, and you may cancel before that renewal if you do not accept the new price.

12.6 Failed payments. If a renewal payment fails, the Payment Processor may try to collect it again, and we may suspend your access until the payment is made. If the payment is still not made after a reasonable time, we may end the Subscription.

12.7 Instalment plans. If you buy by instalments, you agree to pay every instalment on its due date. We may suspend your access to the Product if an instalment is not paid, and any refund follows clauses 11.5 and 11.6.

12.8 Renewal reminders. Where Applicable Law requires us to send you a reminder before a renewal, we will do so by email to the address on your Account, within the time that Applicable Law requires.

12.9 Statutory rights. Nothing in this clause limits any right that you have under Applicable Law to cancel a Subscription or to withdraw from a contract for digital content or services.

13. Free trials and free resources

13.1 Application. Where we offer a free trial or a free resource, this clause applies to it, together with the other clauses of these Terms. The length of a trial and the limits that apply to a trial or a free resource are stated on the Product Page.

13.2 Conversion to a paid plan. A free trial converts to a paid plan only if we told you at sign-up that it would and you agreed. If you do not want the paid plan, you must cancel before the trial ends, as the Product Page explains.

13.3 One trial per person. Each person may have one (1) free trial of a Product. We may refuse a further trial if we reasonably believe that you have already had one, including under a different name or email address.

13.4 Ending a trial or free resource. We may change or end a free trial or free resource at any time. Where a trial is ended early, we will not charge you for the part of the trial that you did not receive.

13.5 Free resources are provided as is. A free resource is provided “as is”. The other clauses of these Terms, including the licence, the restrictions, the clauses on Intellectual Property Rights and the disclaimers, still apply to it.

13.6 No refund for free items. Because a free trial or free resource carries no price, there is nothing to refund. This does not affect any right that you have under Applicable Law.

13.7 Data collected at sign-up. The Personal Data that you give when you sign up for a free trial or free resource is handled under our Privacy Policy.

14. Coaching and consulting services

14.1 Application. Where we offer Coaching Services, the terms in this clause also apply to them. Coaching Services are personalised services, and the details of each engagement are stated on the Product Page or in the booking confirmation.

14.2 How Coaching Services are delivered. Coaching Services are delivered by video, voice or message at times that we agree with you. You must join each session on time, in a suitable place and with the equipment that you need.

14.3 Booking, rescheduling and cancellation. You may reschedule or cancel a session by giving us at least twenty-four (24) hours’ notice. If you cancel or ask to reschedule with less notice, or if you do not attend, you forfeit that session and we are not required to offer you another.

14.4 Fees. Fees for Coaching Services are non-refundable once booked and paid, as clause 11.7 states. That clause also explains the cases in which we will refund the fee for a session that we could not deliver.

14.5 No professional relationship. Coaching Services do not create a lawyer-client, doctor-patient, therapist-client, financial-adviser or other regulated professional relationship. We do not give legal, medical, financial, therapeutic or other regulated advice, and clause 20 applies to everything we say in a session.

14.6 No guaranteed outcomes. We do not promise that Coaching Services will lead to any particular outcome. What you achieve depends on many factors, including your own effort and circumstances.

14.7 Your decisions. You are responsible for the decisions that you make and the actions that you take, whether or not they follow a discussion in a session. You should obtain advice from a suitably qualified professional where a decision carries legal, financial, health or safety consequences.

14.8 Confidentiality. We keep what you tell us in a session confidential. We may disclose it only where the law requires us to, where a competent authority asks us to, or where it is needed to protect someone from serious harm.

14.9 Recording. You must not record a session without our permission. We may record a session for quality or record-keeping purposes only after we have told you, and we will handle the recording under our Privacy Policy.

14.10 Session materials. Materials that we give you in or after a session are licensed to you for your personal use on the terms of clause 4, and clause 5 applies to them.

14.11 Conduct. You must behave respectfully in every session. We may end a session or an engagement, without a refund, if you are abusive, threatening or discriminatory, or if you repeatedly breach these Terms.

14.12 Technology failures. If a technical failure prevents a session from taking place, we will reschedule it to a time that you and we agree or, if we cannot do so, refund the fee for that session, as clause 11.7 provides.

14.13 Age and status. You must be eighteen (18) or over to use Coaching Services. Coaching Services do not create an employment, partnership or agency relationship, and we do not agree to work exclusively for you.

15. Affiliate and referral programme

15.1 Eligibility and approval. Where we offer an affiliate or referral programme, the terms in this clause apply to it. We may accept or reject any application at our discretion. If we accept you, you act as an independent contractor and not as our employee, partner or agent, and you must be eighteen (18) or over.

15.2 Links and tracking. We attribute a sale to an Affiliate Partner using cookies and similar technologies attached to the link that the Affiliate Partner provides. Attribution is to the last link used, unless the programme page says otherwise, and lasts for the attribution window stated on the programme page.

15.3 Commission. The commission rate and the payment schedule are stated on the programme page or in the affiliate dashboard. We pay commission by the method that we specify, and you are responsible for your own taxes on the commission that you receive.

15.4 Refunds and chargebacks. Commission is not payable on a sale that is refunded or charged back. If we have already paid commission on such a sale, we may deduct it from future payments or recover it from you.

15.5 Prohibited promotion. You must not promote the Products by spam, by misleading claims, or by any statement about income or results that we have not approved in writing. You must not bid on our trade marks in paid search, refer yourself, post our links on coupon sites unless we have approved it, stuff cookies, or direct your promotion at children.

15.6 Disclosure. You must disclose your relationship with us clearly wherever you promote the Products, as Applicable Law requires. Examples include advertising and endorsement rules, such as the endorsement guides in the United States and the advertising codes in the United Kingdom, but this description is not a complete list.

15.7 Compliance with law. You must comply with Applicable Law in everything you do under the programme, including privacy, electronic marketing and anti-spam laws. You must not send unsolicited messages or collect Personal Data unlawfully.

15.8 Marketing assets. We grant you a limited, non-exclusive and revocable licence to use the marketing assets that we approve and provide for the programme. You must use them unchanged and only to promote the Products.

15.9 Term and termination. Either you or we may end your participation at any time by writing to the other. We will pay valid commission earned up to the date of termination, unless we terminated your participation for a breach of these Terms.

15.10 No authority. You have no authority to bind us or to make any statement, promise or representation on our behalf. You must not suggest that you are an employee or representative of ours.

15.11 Changes to the programme. We may change the programme, including its rates, rules and payment schedule, by giving notice on the programme page or by email. A change applies to sales made after it takes effect.

15.12 Liability and indemnity. You indemnify us against claims, losses and reasonable costs that arise from your breach of this clause, and our liability to you under the programme is limited as clause 26 provides.

16. Commercial, team and reseller licences

16.1 Application. Where we offer commercial, team or reseller licences, the terms in this clause apply only to the type of licence shown on the Product Page. They apply together with the other clauses of these Terms, and the Product Page prevails if it differs.

16.2 Scope. The licence is limited to the number of users, entities or seats stated on the Product Page. Unless the Product Page expressly grants resale, the licence is for the licensee’s internal business use only.

16.3 No wider sublicensing. The licensee must not sublicense, share or make a Product available outside the scope of its licence. Any use beyond that scope needs our written permission.

16.4 Reseller and white-label rights. Reseller or white-label rights exist only where the Product Page says so, and only on the conditions stated there. Where such rights are granted, the licensee must follow our brand and quality requirements.

16.5 Personnel. The licensee must make sure that every person who uses a Product under its licence knows and follows these Terms. The licensee is responsible for any breach by its personnel.

16.6 Audit. On reasonable notice, we may ask the licensee to confirm in writing, and to show by reasonable records, that it is using the Product within the scope of its licence. We will carry out any check in a way that does not disrupt its business more than is necessary.

16.7 Transfer. A commercial licence cannot be transferred to another person or entity without our written consent. We will not unreasonably withhold consent to a transfer that is part of a sale of the licensee’s whole business.

16.8 Fees and renewal. The fees and any renewal terms are stated on the Product Page. The licensee must pay the fees when due.

16.9 Business users. A licensee who is a business cannot claim rights that apply only to consumers. The licensee confirms that it is buying for the purposes of its business.

16.10 Breach. If the licensee breaches this clause, we may end the licence in accordance with clause 29. The licensee must then stop all use of the Product.

16.11 Indemnity. The licensee indemnifies us against claims, losses and reasonable costs that arise from the use of a Product outside the scope of its licence.

17. Webinars and events

17.1 Application. Where we offer webinars, live sessions or other Events, the terms in this clause apply to them. Registration and access details are given on the event page.

17.2 Times. The time of an Event is shown in the time zone stated on the event page. You are responsible for checking the time in your own location.

17.3 Changes and cancellation. We may reschedule an Event, change a speaker or cancel the Event. We will tell registered attendees, and if we cancel a paid Event and do not reschedule it to a date that you can attend, we will refund the fee for it.

17.4 Recording by attendees. Attendees must not record any part of an Event. Clause 5 applies to any recording made in breach of this clause.

17.5 Recording by us. We may record an Event and use the recording. If you speak or appear on camera, you consent to appearing in the recording, unless you tell us before the session that you do not consent.

17.6 Replays. We provide a replay of an Event only if the event page says so. Where we do, the replay is a Product or part of a Product for the purposes of these Terms.

17.7 Educational content. The content of an Event is educational and is not advice, as clause 20 states.

17.8 Conduct. Attendees must behave respectfully. We may remove an attendee who is abusive or disruptive, without a refund.

17.9 Refunds. Refunds for a paid Event follow the event page. If the event page states nothing, the fee is non-refundable once the Event has taken place.

17.10 Privacy. The Personal Data that you give when you register for an Event is handled under our Privacy Policy.

18. Software-specific terms, including AI features

18.1 Licence, not sale. Software is licensed and not sold. It is supplied in object code form, and the limits on devices or users stated on the Product Page apply to it.

18.2 Requirements and third-party components. The system requirements and installation steps for Software are stated on the Product Page or in its documentation. Software may include open-source or other third-party components, which remain under their own licences, and those licences prevail for those components.

18.3 Updates, patches and support. Updates, patches and support are provided only as the Product Page states. Support for a version of Software may end, and we will say when it does on the Product Page or in the documentation. After support for a version ends, you may continue to use it at your own risk, but we are not required to provide updates, patches or help for it.

18.4 Activation and licence checks. Software may need a licence key and may check that its licence is valid, online or within an offline grace period stated on the Product Page. It may include tamper-protection measures, and you must not disable them. If a licence check cannot be completed within the offline grace period, the Software may stop working until the check succeeds.

18.5 No reverse engineering. You must not reverse engineer, decompile or disassemble Software, except to the extent that Applicable Law permits despite this restriction, as clause 5 also provides.

18.6 Backups and your environment. You are responsible for keeping backups of your own files and data. We are not responsible for loss or damage caused by your hardware, your operating system, other software or your configuration.

18.7 Beta and preview features. Beta, preview and experimental features are provided “as is”. They may change or be withdrawn at any time, and they may contain errors.

18.8 Data processed through the Software. The data that you process through Software remains yours. We process it only as our Privacy Policy states and only to provide the Software to you, and you are responsible for making sure that you have the right to use that data in the Software.

18.9 AI features. Where we offer AI features, the following terms apply to them.

(a) AI output may be inaccurate, incomplete or similar to the output that other users receive. You must review the output before you rely on it, and it is not professional advice.

(b) You must not enter unlawful material into an AI feature. You must not enter the Personal Data of other people unless you have a legal basis to do so.

(c) We may use third-party AI providers to deliver the feature, as clause 21 explains.

(d) We do not use your private inputs to train general-purpose models unless you agree, which matches our Privacy Policy.

(e) You own the output to the extent of our rights in it, subject to the terms of the third-party provider. We do not promise that the output is unique, and the same or similar output may be given to others.

(f) You must not use an AI feature to produce content that infringes the rights of others, that is misleading about its origin, or that you present as professional advice.

18.10 Acceptable use. You must not use the Software for any unlawful, harmful or infringing purpose, or to attack, monitor or interfere with other people or their systems. We may suspend your use of the Software if you do.

18.11 Warranties. The disclaimer in clause 25 applies to the Software, including the statement that we do not warrant that the Software is free from errors or viruses.

18.12 Termination and removal. If your licence to the Software ends, you must stop using it and remove it from your devices, as clause 29 provides. We may disable licence keys and access when this happens.

18.13 Open-source notices. The notices and licences of any open-source components are provided with the Software or on the Product Page. They set out the rights that you have in those components.

19. Reviews, comments and testimonials

19.1 Submitting content. You may submit reviews, comments or testimonials about the Website, a Product or a Service where we provide a way to do so. Submitting content is optional, and you do not have to submit anything to use a Product.

19.2 Your responsibility. You are responsible for the content that you submit. You confirm that you have the right to submit it, that it is truthful, and that it is not unlawful, defamatory, infringing or misleading.

19.3 Licence to us. You grant us a worldwide, non-exclusive and royalty-free licence to display your content on the Website and in our marketing, and to edit it for formatting. The licence lasts for as long as the content is displayed, or is perpetual where you have given us permission to keep using it. We will use your name together with your content only with your permission.

19.4 No endorsement. We do not endorse the content that users submit, and it does not represent our views. We are not responsible for statements made by users.

19.5 Moderation. We may remove or decline to publish any content for any reason, including where it breaks these Terms or is unrelated to the Product. We do not have to explain a decision to remove content, although we will consider a reasonable request for an explanation.

19.6 No payment for reviews. We do not pay for reviews, and we do not make any benefit depend on a review being positive. Where we offer an incentive for a review, we require the reviewer to disclose it, as Applicable Law requires.

19.7 Product problems. If you have a problem with a Product, you should send it to [email protected] rather than posting it as a review, so that we can try to resolve it. This does not stop you from giving an honest review.

19.8 Removal requests. You may ask us to remove content that you submitted by writing to [email protected]. We will act on a reasonable request within a reasonable time.

20. Educational content and results disclaimer

20.1 Educational purpose. The Products and Services are provided for general educational and informational purposes only. They reflect the knowledge and experience of their authors at the time of creation and may become out of date.

20.2 No professional advice. Nothing in the Website, the Products or the Services constitutes, or should be relied on as, legal, financial, investment, trading, tax, accounting, medical, health, psychological, engineering, security or other professional advice, or as a recommendation to take or avoid any action. We are not a registered or authorised adviser, broker, planner or regulated professional in any jurisdiction, unless we expressly state otherwise in writing. You should consult an appropriately qualified professional before making decisions that affect your finances, health, legal position, business or safety.

20.3 No guarantee of results. We make no representation, warranty or guarantee that you will achieve any particular outcome, result, income, profit, saving, growth, grade, qualification, employment, skill level or success by using any Product or Service. Any examples, case studies, figures, earnings statements or testimonials are provided for illustration, are not typical or guaranteed, and do not represent what you should expect. Results depend on many factors, including your background, effort, skill, investment, circumstances, market conditions and factors beyond our control.

20.4 Your decisions and risk. You are solely responsible for your decisions and actions, and you assume all risk arising from your use of any Product or Service. Any activity that involves financial, business, health or personal risk may result in loss, including the loss of your whole investment.

20.5 Accuracy. We make reasonable efforts to ensure that Content is accurate, but we do not warrant its accuracy, completeness, currency or suitability. Laws, regulations, platforms, prices and technologies change.

20.6 Forward-looking statements. Any statements about future performance, trends or outcomes are opinions and predictions only and are not guarantees.

20.7 AI-assisted content. Content and Software may be created or assisted by artificial intelligence tools. We review materials with reasonable care, but AI-assisted content may contain errors. You are responsible for verifying any information on which you rely.

21. Third-party platforms, links and payment processors

21.1 Use of Third-Party Platforms. The Website and the Products may link to, or rely on, Third-Party Platforms, such as services for hosting, video, learning delivery, payments, email, analytics and artificial intelligence. We choose them with reasonable care, but they are operated by others.

21.2 Their terms apply. The terms and privacy policies of a Third-Party Platform apply to your use of it. You should read them, and you are responsible for complying with them.

21.3 No responsibility for them. We are not responsible for the content, availability, security or practices of any Third-Party Platform. If a Third-Party Platform fails or changes, that may affect your use of a Product, and clause 30 may apply.

21.4 Links. A link to a Third-Party Platform is a convenience and does not mean that we endorse it, its owner or what it offers. We do not control the content that appears behind a link.

21.5 Payment Processor. The terms of the Payment Processor govern payments, as clause 9 explains. Those terms apply in addition to these Terms.

21.6 Changes of platform. If a Third-Party Platform changes or ends, we may move a Product to another platform. We will do so in a way that does not materially reduce the Product that you paid for, and we will tell you where the change affects how you access it.

21.7 Names of others. We use the names of third parties for identification only. Their use does not mean that we are connected to those third parties or that they endorse us.

21.8 Your own arrangements. If you use a Third-Party Platform to access a Product, you are responsible for any fees that the platform charges you, for the security of your own account with it and for keeping your access details private. We cannot restore access to a Third-Party Platform account that you have lost.

21.9 Data held by others. A Third-Party Platform may collect Personal Data about you under its own policy. Our Privacy Policy explains what we share with platforms that act on our behalf, but we do not control what a platform does under its own terms.

21.10 Reporting a problem. If a Third-Party Platform does not work with a Product as described on the Product Page, you should tell us at [email protected]. We will look into the problem and, where it is reasonable, help you to get access in another way.

22. Communications, notices and electronic consent

22.1 Electronic communications. You agree to receive communications from us electronically, by email to the address on your Account and by notices on the Website. You agree that electronic communications satisfy any legal requirement that a communication be in writing.

22.2 Service messages. We send service messages, such as order confirmations, access details, security alerts and notices of changes. These are not marketing, and you cannot opt out of them while you have an Account.

22.3 Marketing emails. We send marketing emails only where the law permits it, and every marketing email contains a way to unsubscribe. Unsubscribing from marketing does not stop service messages.

22.4 Notices to you. A notice that we send to the email address on your Account is treated as received when we send it. A notice that we post on the Website is treated as received when we post it.

22.5 Notices to us. You must send notices to us in writing to [email protected]. A notice to us takes effect when we receive it.

22.6 Your details. You must keep your email address up to date. We are not responsible if you do not receive a notice because the address on your Account is wrong.

22.7 Changes to communication choices. You may change your marketing choices at any time by using the link in a marketing email, by changing your Account settings where that option is available, or by writing to [email protected]. We will act on your choice within a reasonable time.

22.8 Withdrawing consent. If you withdraw your agreement to receive electronic communications, we may be unable to provide a Product or Service that depends on them. In that case, clause 29 applies.

22.9 Records. We keep a record of the notices that we send, and you agree that our record is evidence of what was sent and when, unless you show that it is wrong.

23. Privacy and data protection

23.1 Privacy Policy. Our Privacy Policy at https://www.scribecrest.com/privacy-policy/ explains how we handle Personal Data. It forms part of these Terms by reference, and by using the Website you confirm that you have read it.

23.2 Your statutory rights. Nothing in these Terms limits the rights that Applicable Law gives you over your Personal Data. The Privacy Policy explains how you can exercise those rights.

23.3 Other people’s Personal Data. You must not give us the Personal Data of another person unless you have the authority or a legal basis to do so. If you do, you are responsible for making sure that you may lawfully share it.

23.4 Cookies. Our use of cookies and similar technologies is described in the Privacy Policy, which also explains the choices that you have.

23.5 Conflicts. If these Terms and the Privacy Policy differ on how Personal Data is handled, the Privacy Policy prevails on that subject. On every other subject, these Terms prevail.

23.6 Requests about your data. If you want to see, correct or delete your Personal Data, or to raise a concern about how we handle it, you may write to [email protected]. The Privacy Policy explains how we deal with those requests and the periods in which we do so.

23.7 Changes. We may update the Privacy Policy, and clause 33 applies to changes to it in the same way that it applies to changes to these Terms.

24. Intellectual property complaints and takedown

24.1 Reporting infringement. If you believe that material on the Website infringes your Intellectual Property Rights, you may report it to [email protected]. We take reports seriously and will consider each of them in good faith.

24.2 What a notice must contain. A notice must include:

(a) your name and contact details, and, if you act for someone else, a statement of your authority;

(b) a description of the work that you say has been infringed;

(c) the location of the material, with enough detail for us to find it;

(d) a statement that you believe in good faith that the use is not authorised by the owner, its agent or the law;

(e) a statement that the information in the notice is accurate and that you are the owner or are authorised to act for the owner; and

(f) your signature, which may be electronic.

24.3 Our response. We will respond to a complete notice within a reasonable time. We may remove or disable access to the material, and we may tell the person who posted it that we have done so.

24.4 Counter-notice. If your material was removed and you believe that the removal was a mistake, you may send us a counter-notice at [email protected]. It must identify the material, explain why you believe the removal was wrong, and include your name, contact details and signature. We may restore the material after considering both sides, unless the person who made the first notice tells us that they have begun legal proceedings.

24.5 Repeat infringers. We may suspend or close the Account of a person who repeatedly infringes the rights of others.

24.6 False notices. A person who knowingly sends a false notice or counter-notice may be liable for the loss that it causes.

24.7 Statutory status. We do not claim to be a service provider under any particular statute unless that statute applies to us.

25. Disclaimer of warranties

25.1 As is and as available. To the extent that Applicable Law permits, the Website, the Products and the Services are provided “as is” and “as available”. We do not promise that they will meet your needs.

25.2 Warranties excluded. To the same extent, we give no warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. Any warranty that Applicable Law would otherwise imply is excluded to the extent that the law allows.

25.3 Software. We do not warrant that Software is free from bugs, errors or viruses. You are responsible for protecting your own devices and data.

25.4 No guarantee of results. We do not guarantee any result from the Products or the Services, as clause 20 explains.

25.5 Consumer guarantees. The rights that you have as a consumer under mandatory law are preserved, as clause 26.3 also states.

25.6 Third-party content. We give no warranty about the content, services or software of any Third-Party Platform, and we are not responsible for their accuracy or availability. Clause 21 applies to those matters.

25.7 No oral warranties. No statement made by any person, whether in a session, an Event, an email or a message, creates a warranty on our behalf unless it is set out in these Terms or on the Product Page. You must not rely on any such statement.

25.8 Fitness of the Content. Content is general in nature and may not suit your own situation. You should decide for yourself whether it is right for you, and clause 20 explains the limits of what we promise.

26. Limitation of liability

26.1 Excluded losses. Subject to clause 26.3, to the fullest extent permitted by Applicable Law, the Provider and its owners, directors, officers, employees, contractors, affiliates, licensors and agents shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any of the following, whether direct or indirect: (a) loss of profit, revenue, income, savings, business, opportunity, anticipated benefit or contracts; (b) trading, investment or financial loss; (c) loss, corruption or unavailability of data; (d) loss of goodwill or reputation; (e) wasted expenditure; (f) professional fees or the cost of substitute products; or (g) loss arising from your reliance on any Content or on the results of any Product, in each case even if we were advised of the possibility of such loss.

26.2 Cap on liability. Subject to clause 26.3, to the fullest extent permitted by Applicable Law, the total aggregate liability of the Provider to you arising out of or in connection with these Terms, the Products or the Services shall not exceed the greater of (a) the total amount that you actually paid to us for the Product or Service giving rise to the claim in the twelve (12) months before the event giving rise to liability, and (b) one hundred (100) United States dollars or the equivalent in the currency in which you paid.

26.3 Liability that cannot be limited. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Applicable Law, including liability for (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) wilful misconduct or gross negligence, where the law does not permit its exclusion; or (d) breach of any right that you have as a consumer under mandatory consumer-protection law, including any right to a Product that is as described, of satisfactory quality, fit for purpose and supplied with the right to use it.

26.4 Sole remedy. Subject to clauses 11 and 26.3, your sole and exclusive remedy for dissatisfaction with the Website, any Product or any Service is to stop using it and, where eligible, to claim a refund under clause 11.

26.5 Time limit on claims. To the maximum extent permitted by Applicable Law, any claim arising out of or related to these Terms, the Products or the Services must be commenced within one (1) year (or any different period stated on the relevant Product Page) after the claim arose. Any claim not commenced within that period is permanently barred.

26.6 Allocation of risk. You acknowledge that the prices of the Products reflect the allocation of risk in this clause 26, and that the limitations in it are a fundamental basis of the bargain between you and us.

26.7 Business users. If you are acquiring Products for business purposes, you agree that this clause 26 is reasonable. If you are a consumer, nothing in this clause affects your statutory rights.

27. Indemnification

27.1 Your indemnity. You agree to indemnify us against claims, losses and reasonable costs, including reasonable legal fees, that arise from your breach of these Terms, your violation of law or the rights of others, or the content that you submit.

27.2 Notice and defence. We will notify you of a claim for which we seek an indemnity, and, where it is practicable, allow you to control its defence with counsel reasonably acceptable to us. You must not settle a claim in a way that admits fault on our behalf without our consent.

27.3 Business users and consumers. This clause applies in full to business users. It applies to consumers only to the extent that Applicable Law permits.

27.4 Cooperation. You agree to give us the reasonable help that we ask for in dealing with a claim covered by this clause, at your expense. We may take part in the defence with our own counsel at our own cost.

27.5 Our rights are preserved. This clause is in addition to our other rights and remedies. It does not limit clause 26.3, and it does not reduce any right that you have as a consumer under mandatory law.

28. Export controls, sanctions and prohibited jurisdictions

28.1 Your confirmation. You confirm that you are not on a sanctions or restricted-party list. You also confirm that you are not located in a country or region that is subject to comprehensive sanctions or an embargo under laws that apply to us or to the Payment Processor.

28.2 Lawful use. You must not use the Products in a way that breaks export-control or sanctions laws. You are responsible for finding out which of those laws apply to you.

28.3 Our right to refuse. We may refuse service, or end an Account or an Order, where compliance with these laws requires it. We will refund any amount that we are required to return to you by Applicable Law.

28.4 Changes in your circumstances. If your circumstances change so that you no longer meet the confirmation in clause 28.1, you must stop using the Products and tell us at [email protected]. We may then end your access as clause 29 provides.

28.5 General compliance. You must also comply with every other law that applies to your use of the Products, including those that restrict the import or use of digital content in the place where you are located.

29. Suspension and termination

29.1 Our right to suspend or terminate. We may suspend or terminate your access to the Website, an Account, a Product or a Service for a breach of these Terms, for non-payment, for suspected sharing or fraud, where the law requires it, or to protect the Website or other users.

29.2 Notice and remedy. Where it is practicable, we will give you notice and a reasonable chance to remedy the breach before we terminate. We need not do so where the breach is serious, where it cannot be remedied or where delay would cause harm.

29.3 Your right to stop. You may stop using the Website and the Products at any time. You may close your Account as clause 8.7 describes.

29.4 Effect of termination. When your access ends, your licence ends and your access is removed. You must stop using the Product and delete the copies in your possession or control.

29.5 Refunds on termination. You receive a refund on termination only as clause 11 and Applicable Law provide. If you terminate your access without cause, clause 11 governs whether you are entitled to a refund.

29.6 Termination without cause. If we terminate your access without cause during a paid access period, and not for your breach, we will refund the unused part of the fee that you paid for that period.

29.7 Survival. Clauses that by their nature continue after termination remain in force. These include the clauses on Intellectual Property Rights, restrictions, disclaimers, limitation of liability, indemnification and governing law.

29.8 Suspension while we investigate. We may suspend your access while we investigate a suspected breach, fraud or a legal risk. A suspension is not a termination, and we will end it if our investigation shows that you did nothing wrong.

29.9 Access to your material. Where it is practicable and lawful, we will give you a reasonable opportunity to download material that you created in the Product before your access ends. We need not do so where we have ended your access for a serious breach or because the law requires it.

29.10 Amounts owed. Termination does not cancel any amount that you owed before the termination date. We may recover that amount from you.

29.11 No compensation. If we end your access for your breach, you are not entitled to compensation for the loss of access, and clause 26 applies to any claim that you make.

30. Force majeure

30.1 Events beyond our control. We are not liable for a delay or failure that is caused by an event beyond our reasonable control. Such events include natural disasters, war, terrorism, epidemics, government action, power or internet failure, an outage of a Third-Party Platform, and a cyber attack that occurs despite our reasonable measures.

30.2 Resuming performance. We will resume performance as soon as it is practicable to do so after the event ends.

30.3 Payment and statutory rights. Your obligation to pay for Products that we have delivered continues during the event. This clause does not limit your statutory rights.

30.4 Notice. We will tell you within a reasonable time if such an event significantly affects a Product that you have paid for. Where the event prevents us from delivering a Product for more than a reasonable period, you may ask for a refund of the undelivered part, and clause 11.10 applies.

31. Governing law and disputes

31.1 Governing law. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles.

31.2 Informal resolution. Before commencing any formal proceedings, you agree to send us written notice of the dispute, describing it in reasonable detail, to [email protected], and to negotiate with us in good faith for at least thirty (30) days from our receipt of the notice. Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief.

31.3 Courts. Subject to clauses 31.2 and 31.4, the courts of competent jurisdiction in Nigeria have exclusive jurisdiction to settle any dispute that arises out of or in connection with these Terms, and each party irrevocably submits to that jurisdiction and waives any objection to venue or to an inconvenient forum.

31.4 Consumers. If you are a consumer, nothing in these Terms deprives you of the protection of any mandatory provision of the law of the country in which you reside, and you may bring proceedings in the courts of your country of residence where Applicable Law gives you that right.

31.5 Intellectual property enforcement. Notwithstanding this clause 31, we may seek relief to protect our Intellectual Property Rights in any court of competent jurisdiction.

32. General provisions

32.1 Entire agreement. These Terms, the Product Pages and the Privacy Policy are the entire agreement between you and us about their subject matter. They replace any earlier understanding about the same subject matter.

32.2 Severability. If a court finds that any part of these Terms is invalid or unenforceable, that part is limited or removed to the extent necessary, and the rest of these Terms stay in force.

32.3 No waiver. If we do not enforce a right, or delay in doing so, that is not a waiver of the right. A waiver is effective only if it is in writing.

32.4 Assignment. We may assign or transfer our rights and obligations under these Terms. You may not do so without our prior written consent.

32.5 No partnership or agency. Nothing in these Terms makes you and us partners, joint venturers, agent and principal, or employer and employee.

32.6 Third-party rights. No person other than you and us has any right to enforce these Terms. The only exception is an Affiliate Partner, where clause 15 says so.

32.7 Headings. Headings are for convenience and do not affect the meaning of these Terms.

32.8 Language. These Terms are written in English. If we provide a translation, the English version prevails if the two differ.

32.9 Electronic signature. An electronic acceptance or signature, such as clicking a button or ticking a box, is as valid as a handwritten one.

32.10 Survival. Clause 29.7 states which clauses continue after termination.

32.11 Consumer rights. Nothing in these Terms limits the rights that you have as a consumer under Applicable Law.

32.12 Further assurance. Each of us will do what is reasonably needed to give effect to these Terms. Neither of us may make a statement on behalf of the other.

32.13 Remedies. The rights and remedies in these Terms are in addition to those given by Applicable Law, unless these Terms state otherwise. A right is not exclusive of another.

32.14 Conflict between documents. If a Product Page and these Terms differ, clause 3.6 applies. If these Terms and the Privacy Policy differ on a matter of Personal Data, clause 23.5 applies.

32.15 Transfers of our business. If we sell or transfer our business or the part of it that supplies the Products, we may transfer these Terms and your Orders to the buyer. We will tell you, and the buyer will be bound by these Terms in respect of your Orders.

32.16 Reasonable interpretation. These Terms are intended to be read fairly and as a whole. No rule that an ambiguity is resolved against the person who wrote the document applies to them.

33. Changes to these Terms

33.1 Updates. We may update these Terms from time to time. We will post the updated version on the Website with a new “Last updated” date.

33.2 Notice of material changes. For material changes, we will give you reasonable notice, by email or on the Website, before the changes take effect. We will give at least thirty (30) days’ notice where Applicable Law or fairness requires it.

33.3 No retroactive effect. A change does not apply to an Order that you placed before the change took effect. The version that applied when you placed the Order continues to apply to it.

33.4 Acceptance. If you keep using the Website, a Product or a Service after a change takes effect, you accept the updated Terms.

33.5 If you disagree. If you do not agree with a change, you may stop using the Website and the Products. Clause 29 and clause 11 explain what happens to your access and any refund.

33.6 Urgent changes. We may make a change straight away where it is needed to comply with the law, to fix a security risk or to prevent fraud. We will tell you about the change as soon as it is practicable.

33.7 Product Pages. We may change a Product Page for future Orders at any time. A change to a Product Page does not alter the terms of an Order that you have already placed.

Schedule 1 – Course refund: proof of effort requirements

S1.1 Purpose. This Schedule sets out what you must provide to be eligible for a refund of a Course under clause 11.3. It exists because the Courses are designed to deliver results only when the material is fully studied and genuinely applied.

S1.2 Completion of the material. You must show that you have gone through all of the Course material, meaning every module, lesson, video, reading and assignment that is part of the Course as delivered to you, by providing at least one of the following: (a) the progress or completion report from the delivery platform; (b) screenshots of your Account showing that each lesson is marked complete; or (c) another record that we reasonably accept.

S1.3 Evidence of effort to apply the material. You must show that you made a genuine effort to apply enough of the material, by providing evidence of the work that you carried out in connection with the Course, which must include the exercises, assignments and action steps that the Course requires. Acceptable evidence may include, as appropriate to the subject of the Course:

(a) completed worksheets, workbooks, templates, plans and assignments;

(b) links to, or screenshots of, work that you produced, published, built, launched or practised;

(e) communications, posts or messages showing that you carried out the steps taught; and

(f) records of your participation in live calls, assignments or support interactions that the Course includes.

S1.10 Courses released in stages. Where a Course is released in stages, such as weekly modules or scheduled live sessions, the Refund Period for that Course runs until thirty (30) days after the final module is released to you, and the completion requirement applies to the material released as at the date of your request.

S1.11 Fairness. We offer refunds on this basis because we are confident in the methods that we teach and want each student to give them a fair chance, which is fair to all students. Nothing in this Schedule limits clause 11.10.

S1.12 Accessibility and exceptional circumstances. If a disability, illness, bereavement or other exceptional circumstance prevented you from meeting these requirements, please tell us in your request. We will consider it in good faith, and nothing in this Schedule limits any right that you have under Applicable Law.
